Welcome to The Small Business Referral Network (SBRN), which provides its
services to you subject to the following Terms of Service (TOS).  We may update these TOS from time to time, without notice to you. Herein referred to as ByOurShoeStrings.com Marketing and Business Development, LLC and/or SBRN.   The SBRN is registered in the State of Oregon and is a subdivision of ByOurShoeStrings.com Marketing and Business Development, LLC (a Limited Liability Company registered in Oregon).  We are not lawyers nor do we claim to be. This Terms of Service policy is written in plain English and is subject to the laws of Oregon.


GENERAL SERVICE AGREEMENT
Information and Benefits:
The Small Business Referral Network is a sub-division of
ByOurShoeStrings.com Marketing and Business Development, LLC.
This is a networking community and organization. We offer members a
rich content of information and resources. This information is
provided for information purposes only.  The SBRN and ByOurShoeStrings.com Marketing and Business Development, LLC does not recommend or endorse any specific business or information found on any of the sites related to the SBRN.
We offer specific member services to our members.  These include but may not be limited to:

Online and Printed Member Directories

Community Chats
Virtual Training Classes
Peer Groups
Member Referral Rewards System
Member Contributions (articles, archives)
Member-to-Member Discounts
Advertising Discounts
Online events and trade fairs
More services will be added as the network grows.
Some members will be invited to manage portals on the network within
their local communities.
Special consideration will be made for these member and certain
benefits will be offered. These are included in different member
agreements.

Any rewards offered to member are at the sole discretion of ByOurShoeStrings.com
Marketing and Business Development LLC and may be extended or rescinded at any time.

DESCRIPTION OF SERVICES/EQUIPMENT
ByOurShoeStrings.com Marketing and Business Development, LLC is the
sole owner of SmallBusinessReferralNetwork.com and all of it’s

  Descriptions are as follows: We reserve the right to change terms whenever it is necessary. Some services are but may not be limited to.

1. Members will be included in the online directories
offered by the SBRN.
2. Members may offer their goods and services through our virtual
groups, lists, and events.
3. You may offer resources you own in our forums. You may post articles, and other resources for members. These may include message boards and forums, chats, free eBooks, or affiliate programs. These are to be owned by you and not a third
party.
4. You may be randomly featured as our “Member of the Month”. We will
contact you for further information should you be chosen.
5. We may partner with members on occasion for special projects or
advertising cooperatives.  This is optional.
6. We may partner with other organizations and web communities and
offer special considerations to their members as well.
7. Other services and benefits may be available at cost to members.  We
will try to always give you the best pricing available.


WARRANTY TERMS

Neither ByOurShoeStrings.com Marketing and Business Development, LLC
nor the SBRN will offer any warranty of service.  ByOurShoeStrings.com
Marketing and Business Development, LLC offers this service on an “as is”
basis. ByOurShoeStrings.com Marketing and Business Development, LLC are
not to be held responsible for lost, misdirected or misleading
content.  Each SBRN Portal manager assumes total responsibility for all
personal content and resources added to the portal(s) that they currently manage.
You retain all rights to your own intellectual properties and grant
ByOurShoeStrings.com Marketing and Business Development, LLC and the
SBRN has limited license to use them should you place them on the
network. This limited license will only be enforced while the content
remains visible on either the network or any portal managed through the
SBRN.
 

ByOurShoeStrings.com Marketing and Business Development, LLC requires
that all managers respect everyone’s intellectual properties and the use
of copyrighted material, and/or clip art which is disallowed unless you have the
permission of the persons or agencies that created, or hold the rights
to such copyrights and intellectual properties.
Anyone disregarding these rules may be subject to termination and will
receive notification of any infractions with regards to such violations. We
will make every attempt to resolve issues with members before such
actions may be become necessary.

CHAT TRANSCRIPTS

Chat transcripts will be archived and will be made available to
all members. Chat transcripts are the property of the network.
Class transcripts will be made available only to those attending
workshops or classes. These particular transcripts are the property

of those who create and offer the classes. They will not be publicly

archived, however those who offer them may do that on their own.
No material that carries a copyright should be placed in public
forums. These will be removed if we are notified of them. All material
posted to the forums become the property of the network.

From time to time, we may pull posts off of the boards to feature on the network.
ByOurShoeStrings.com Marketing and Business Development, LLC network
respects the intellectual property of others and we require our users
to do the same. If you believe that your work has been copied in a way
that constitutes copyright infringement, please provide
ByOurShoeStrings.com Marketing and Business Development, LLC and the
SBRN’s Copyright Agent the following information: an
electronic or physical signature of the person authorized to act on
behalf of the owner of the copyright interest; a description of the
copyrighted work that you claim has been infringed; a description of
where the material in question is located on the site; your address,

telephone number, and email address; a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the
law; a statement by you, made under penalty of perjury, that the above
information in your notice is true and accurate, and that you are the copyright
owner or authorized person acting on the copyright owner's behalf.

TERMS
No material on the SBRN or any of the network portals may be used or copied
without the expressed written permission of the owner(s).  Portal managers are not employees of ByOurShoeString.com Marketing and Business Development, LLC or of the SBRN.  ByOurShoeStrings.com Marketing and Business Development, LLC and the Small Business Referral Network (and our portals) shall be in no way responsible for any member conduct, or damages you incur in regards to any business you see listed on either the Main Business Network or the Community Portals. You contact and use any business you see listed here at your own risk.

COMPENSATION

Compensation is based on your purchasing advertising services from the network and reselling the advertising service to your local markets. Any income you earn is
based on the efforts you put forth to grow an active local portal.
There is no claim for salary or hourly compensation.
Members may become volunteers on forums or as chat hosts on certain
occasions. This is not to be considered an offer of employment and
such commitments are entered into without the expectation of
reimbursements. The network will maintain the titles of the chats and
give credit in naming the volunteer in exchange for services.
 

ByOurShoeStrings.com Marketing and Business Development, LLC
reserves the right to grant and revoke any volunteer positions as it sees fit.
Free article archives--members who submit articles to our archives do
so without expectation of reimbursements. This content may contain
your own copyright and you retain it as your own intellectual
property. By submitting it to the archive, you grant the network free
use and limited license to use materials on the network sites. And you
grant permission to members to search for content to be used with your
permission on their own sites or in newsletters or ezines. You may
include a resource box and require all those using the content to
contact you letting you know where or when the content will be used.
Links, directory listings, and Market Place displays will only remain active
as long as you are a member in good standing, and that the site and links
remain live and active online. When you leave the network all listings
and links will be removed. 

MEMBER CONDUCT

All members are required to conduct themselves in a professional
manner on the community forums and in chats. Flames, spamming, adult
content, racism, and hate material or information will not be
tolerated and members will be subject to immediate removal.  A
warning may or may not be given depending on the severity of the
offense.  Members posting material for sale or offered to the public, are ask to
sign our Pledge of Responsible Marketing.   These terms are subject to change occasionally and notice will be sent out via email to all active members.

We reserve the right to change, add, or remove any terms we see necessary
to the growth of the SBRN, a division of ByOurShoeStrings.com Marketing and

Business Development, LLC.

MEMBER’S RIGHT TO CANCEL
Members have the right to cancel within the first 30 days of becoming a
paid member.  ByOurShoeStrings.com Marketing and Business Development, LLC  will honor all cancellation and refund requests promptly. During a Special offer you membership will remain live until the end of such offer. It is your responsibly to cancel any time before that offer is over.

You must contact us in writing with you intent to cancel before it Renews. It is your responsibly to cancel you membership.

We require  the request for reimbursement to be in the form of written communication however, either via email or regular mail within the First 30 days of service, in order to receive the full refund amount.  Members have the right to leave the SBRN whenever they choose. Past the First 30 day No reimbursements are made.

LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE BYOURSHOESTRINGS.COM MARKETING AND BUSINESS DEVELOPMENT, LLC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES.
We are not responsible for problems that result due to the down time
of the servers for the network, as we have no control whatsoever of
how or when servers are serviced or down time may result.
We cannot guarantee information onsite or the accuracy of any
information on any site, which is owned by the members of the SBRN.  This site
is for information purposes only and we do not control all of the
content listed here. We are not responsible for any third-party
content. We make every effort to control information that we feel is
unprofessional and/or not in keeping with our own professional
integrity.  If you notice anything you feel is in violation of these

TOS, please let us know immediately and we will evaluate it and take
appropriate action if necessary.  We recommend you do your own research
and use due diligence when dealing with any company or members you see
listed not only on the main network site but on any of the community portals as well.

CREDIT
ByOurShoeStrings.com Marketing and Business Development, LLC will not
extend credit to managers or hosting client in any situation.  All member dues are to be
paid promptly at each quarter unless the manager has Member Bucks in
reserve that they choose to use toward their portal dues.

MEDIATION AND ARBITRATION
These Terms of Service constitute the entire agreement between you and
ByOurShoeStrings.com Marketing and Business Development, LLC and the
SBRN that govern your use of the service. You also may be subject to

additional terms and conditions that may apply when you use
affiliate services, third-party content or third-party software.

The Terms of Service and the relationship between you and

ByOurShoeStrings.com Marketing and Business Development, LLC and

the laws of the State of Oregon without regard shall govern the SBRN

to its conflict of law provisions.  You and ByOurShoeStrings.com Marketing and Business Development, LLC and the SBRN agree to submit to the personal and exclusive
jurisdiction of the courts located within the county of Lane County
Oregon. The failure of ByOurShoeStrings.com Marketing and Business
Development, LLC and the SBRN to exercise or enforce any right
or provision of the Terms of Service shall not constitute a waiver of
such right or provision. If any provision of the Terms of Service is
found by a court of competent jurisdiction to be invalid, the parties
nevertheless agree that the court should endeavor to give effect to
the parties' intentions as reflected in the provision, and the other
provisions of the Terms of Service remain in full force and effect.
You agree that regardless of any statute or law to the contrary, any
claim or cause of action arising out of or related to, the use of the
Service or the Terms of Service, must be filed within one (1) year
after such claim or cause of action arose or it will be forever barred.

The section titles in the Terms of Service are for convenience only and
have no legal or contractual effect.

NO MODIFICATION OR WAIVER

No modifications will be made except those specifically agreed

upon by the parties in writing. Any waiver of a term or provision

will not act as a waiver of any other provision.

ENTIRE AGREEMENT

This agreement constitutes the entire agreement of the parties and may
be modified only in a writing executed by both parties. Any part of
this agreement that may resemble other Terms of Service is purely
coincidental.  Such considerations and topics are often similar in any
terms of service agreement.

NOTICES

Notices should always list the current and best addresses where each
party may contact the other for whatever the reason.
